This policy sets the standard terms for custom work by ABT Dev Services (Pvt.) Ltd. (“ABT”): websites, web and mobile apps, custom software, SaaS builds, UI/UX and branding, AI and automation, cloud and DevOps, cybersecurity, SEO, digital and social media marketing. It applies to every proposal, estimate, statement of work (“SOW”) or invoice that refers to it. A signed agreement may change any term; where it does, the signed agreement prevails. Effective date: 27 October 2026.
1. Scope and documents
Each engagement is defined by a written proposal or SOW listing deliverables, milestones, timeline, assumptions, exclusions, fees and payment schedule. Work, features or platforms not listed are out of scope. Estimates are based on the information available at the time; if the brief, materials or assumptions change, we will tell you before the scope, timeline or fee changes.
2. How a project runs
-
Discovery: we confirm goals, users, content, integrations, data and compliance needs. Paid discovery produces a written scope and estimate you may use with or without us.
-
Design and build: we work in milestones with regular reviews, normally weekly, through the client portal, email or agreed calls.
-
Review and acceptance: see section 6.
-
Launch and handover: we deploy to the agreed environment and hand over credentials, documentation and source code as set out in section 8.
-
Warranty and support: see section 9 and our Support & Maintenance Policy.
3. Fees and payment
-
Fixed-price projects: unless the SOW says otherwise, 50% is invoiced at acceptance as a mobilisation payment, and the balance is invoiced against milestones, with the final milestone due on acceptance or launch, whichever comes first.
-
Time-and-materials work: billed monthly or at agreed intervals against timesheets, at the rates in the proposal.
-
Retainers and marketing services: billed monthly in advance. Advertising spend is separate from our fee and is paid by you directly to the platform or reimbursed in advance.
-
Invoices are payable within 7 days unless stated. Prices exclude sales tax on services, withholding tax and bank charges, which are added or borne as the law requires.
-
If an invoice is more than 14 days overdue we may pause work after written notice; timelines move by the length of the pause. If an invoice is more than 30 days overdue we may suspend hosting or services we operate for you, after a further 7 days’ notice.
4. Changes to scope
Either party may request a change. We will reply with its effect on fees and timeline, and the change is carried out once you approve it in writing or in the portal. Small adjustments that fit within the agreed effort may be absorbed at our discretion and recorded in the project notes.
5. Your responsibilities
-
Provide content, brand assets, access, accounts, data, feedback and approvals on time. Timelines depend on this; delays of more than 10 business days on your side may require rescheduling.
-
Name one decision-maker for approvals.
-
Confirm you have the rights to all materials you supply and that using them will not infringe anyone’s rights or break any law.
-
Own the business and legal decisions about your product, including privacy notices, terms for your users, regulatory approvals and content accuracy. We can advise, but this is not legal advice.
-
Keep your own backups of materials you send us.
6. Review and acceptance
When a milestone or deliverable is ready we will ask you to review it. You have 7 business days to accept it or report defects measured against the agreed scope. We fix reported defects and resubmit. A deliverable is accepted when you approve it, when the review period ends without a defect report, or when you use it in live operation, whichever comes first. Feedback that asks for something different from the agreed scope is handled as a change request.
7. Third-party services and costs
Projects often rely on hosting, domains, app store accounts, payment gateways, SMS and WhatsApp providers, AI models, APIs, plugins, fonts and stock media. Their fees are separate from ours unless included in the proposal, and their availability, pricing and terms are set by those providers. Where possible, accounts are opened in your name so you keep control. We are not responsible for outages, policy changes or rejections by third parties (for example an app store review), but we will help you respond.
8. Ownership and licences
-
When you have paid all fees for a deliverable, ownership of the custom code, designs and content we created specifically for you transfers to you, except as stated below.
-
ABT keeps ownership of its pre-existing tools, libraries, frameworks, templates, know-how and our products, including the platforms behind Qalamora, DishRoute and MandiKhata. Where these are part of your deliverable you receive a non-exclusive, perpetual licence to use them as part of that deliverable.
-
Open-source and third-party components remain under their own licences.
-
Until full payment, you receive a licence to use deliverables for review and testing only.
-
Unless you tell us otherwise in writing, we may list your name and logo and show non-confidential parts of the work in our portfolio after launch.
9. Warranty
For 30 days after acceptance or launch, we fix at no charge any defect that causes a deliverable not to work as specified in the agreed scope. The warranty does not cover changes made by anyone other than ABT, new features, content updates, third-party service changes, browser or operating-system releases after acceptance, misuse, or hosting not managed by ABT. After the warranty period, support is provided under a maintenance plan or at our standard rates.
10. Confidentiality
Each party keeps the other’s non-public business, technical and personal information confidential, uses it only for the engagement, and shares it only with people who need it and are bound by similar duties. This continues for 3 years after the engagement ends, and indefinitely for trade secrets and personal data. A separate non-disclosure agreement can be signed before discovery on request.
11. Data protection
Where we process personal data on your behalf, we act on your documented instructions, keep it secure, use sub-processors only as disclosed, help you respond to data requests and incidents, and return or delete the data when the engagement ends. A data processing addendum is available for clients who need one.
12. Marketing and performance services
SEO, advertising, social media and growth results depend on search engines, platforms, competitors and market conditions outside our control. We commit to the agreed activities, reporting and professional effort, not to specific rankings, traffic, leads or sales, unless a signed agreement expressly sets a guaranteed outcome.
13. Termination
-
You may end an engagement at any time with 15 days’ written notice. You pay for work completed up to the end of the notice period, approved third-party costs and any non-cancellable commitments. Refunds are handled under our Refund & Cancellation Policy.
-
Either party may end an engagement immediately by written notice if the other materially breaches it and does not fix the breach within 15 days, or becomes insolvent.
-
We may end an engagement if continuing would require us to break the law or our Acceptable Use Policy.
-
On termination we hand over completed and paid-for work, and you pay outstanding invoices. Sections on ownership, confidentiality, liability and disputes survive.
14. Liability
Each party is responsible for direct losses it causes through breach of the engagement. To the extent the law allows, neither party is liable for indirect or consequential loss, loss of profit, revenue, goodwill or data, and ABT’s total liability for an engagement is limited to the fees paid to ABT for that engagement in the 12 months before the claim. These limits do not apply to fraud, wilful misconduct, breach of confidentiality, death or personal injury caused by negligence, or your obligation to pay fees.
15. Non-solicitation
During an engagement and for 12 months afterwards, neither party will directly recruit an employee of the other who worked on the engagement, without written agreement. General job advertisements are not solicitation.
16. Force majeure
Neither party is liable for delay caused by events beyond its reasonable control, such as natural disasters, internet or power outages, government action or unrest. The affected party will notify the other promptly and resume as soon as possible. If the event lasts more than 30 days, either party may end the affected work by notice.
17. Governing law and disputes
Engagements are governed by the laws of Pakistan, including the Contract Act, 1872. The parties will try to resolve disputes by good-faith discussion between senior representatives within 30 days of written notice. If that fails, the dispute may be referred to arbitration in Lahore by a sole arbitrator under the Arbitration Act, 1940, or, if both parties prefer, to the courts at Lahore. International clients may agree a different neutral forum in their signed agreement.
